1. Acceptance of Terms

By accessing or using InvoUno ("the Service"), operated at invouno.com, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. We may update these terms at any time; continued use after changes constitutes acceptance.

2. Service Description

InvoUno is a web-based platform for creating, managing, and sending professional business documents including invoices, quotes, receipts, purchase orders, and estimates. The Service includes:

  • A web application for document creation and management
  • A free document generator (no account required)
  • A RESTful API for programmatic document generation
  • Email delivery of documents to your clients
  • PDF generation and download
  • Client and contact management
  • Recurring invoice automation

3. Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your password and account
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activity under your account

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Payment and Refunds

InvoUno offers both free and paid plans. For paid plans:

  • Lifetime plans are one-time payments granting perpetual access to the features included in your plan at the time of purchase, plus future updates
  • All prices are in USD unless otherwise stated
  • Payments are processed securely through DodoPayments

30-Day Money-Back Guarantee

All lifetime plans include a 30-day money-back guarantee. If you are not satisfied for any reason, contact us within 30 days of purchase for a full refund, no questions asked. Refunds are processed to the original payment method within 5-10 business days.

Lifetime Plan Limitations

"Lifetime" refers to the lifetime of the Service, not the lifetime of the purchaser. In the event of any of the following, the lifetime plan may be terminated without refund:

  • The Service is permanently discontinued or ceases operations
  • The purchaser or the entity holding the plan is deceased, dissolved, or otherwise ceases to exist as a legal entity
  • The plan holder violates these Terms of Service

In the event InvoUno is acquired or merged, the acquiring entity will honor existing lifetime plans for a minimum of 12 months from the acquisition date. We will provide at least 90 days' notice before any changes to lifetime plan benefits.

5. Acceptable Use

You agree not to use the Service to:

  • Create fraudulent, misleading, or illegal documents
  • Impersonate another person or business
  • Send unsolicited bulk emails or spam through our email delivery system
  • Attempt to access other users' accounts or data
  • Circumvent usage limits, rate limits, or security measures
  • Use the Service for money laundering, tax evasion, or other financial crimes
  • Transmit malware, viruses, or malicious code
  • Scrape, crawl, or harvest data from the Service beyond what the API permits
  • Resell access to the Service without our written permission

We reserve the right to suspend or terminate your account without notice for violations of these terms.

6. API Terms

Use of the InvoUno API is subject to these additional terms:

  • API usage is subject to the rate limits and call quotas of your plan
  • You must authenticate all API requests with a valid API key
  • API keys are confidential and must not be shared publicly or embedded in client-side code
  • We may throttle or block API access that degrades service quality for other users
  • We may modify the API with reasonable notice; breaking changes will be communicated in advance
  • You are responsible for the security of your API keys; rotate them immediately if compromised

7. Intellectual Property

Your Content: You retain full ownership of all documents, data, and content you create using the Service. We claim no intellectual property rights over your content.

Our Service: The InvoUno name, logo, website design, templates, source code, and all associated intellectual property are owned by InvoUno. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Templates: Documents generated using our templates may be used freely for your business purposes. The templates themselves remain our property and may not be extracted or redistributed.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind, either express or implied. To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, data, business opportunities, or goodwill
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We do not guarantee uninterrupted or error-free service, although we strive for 99.9% uptime

You are solely responsible for the accuracy and legality of documents you create. InvoUno is a tool, not a legal, accounting, or financial advisory service.

9. Termination

By you: You may delete your account at any time from your account settings. Upon deletion, your data will be permanently removed within 30 days.

By us: We may suspend or terminate your account if you violate these terms, engage in abusive behavior, or fail to pay for a paid plan. In cases of termination for cause, we will provide notice and an opportunity to export your data unless the violation is severe (e.g., fraud, illegal activity).

Sections on intellectual property, limitation of liability, and governing law survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
